Federal Tax ID Number (EIN)
A Federal Tax ID Number, also known as an Employer Identification Number or EIN, is basically a Social Security Number for a business. It is the number the Internal Revenue Service uses to identify the business. It must be included on all tax filings. Also, banks commonly require an EIN to open a business bank account.
If you are forming a new business, you should obtain an EIN. If you currently operate your business as a sole proprietorship or general partnership and are now looking to incorporate or form a limited liability company, you must obtain a new, separate EIN for your business.
We can obtain your EIN from the IRS on behalf of your business for a $25 service fee. There is no disbursement to the IRS. The typical turn-around time for this service is 2-3 days after we receive approval of your formation filing from the state. In order to obtain the Federal Tax ID (EIN) Number for your business, you must provide your personal Social Security Number. In addition, you must provide a physical US address; PO Boxes are not acceptable.

Why do I need a Federal ID Number? This is the identification number of your business. Any business offering products or services must get a Federal Tax ID Number. If you are required to collect sales taxes on your sales, hire employees or pay any kind of taxes, you will need a Federal Tax ID.

Registered Agent Services
Most states require businesses to maintain a registered agent to accept legal and official documents on behalf of your business. This could include, but is not limited to, documents such as franchise tax notices, annual reports , court summonses and other official legal notices. The Corporation Shop can be your registered agent. The registered agent fee for the first year is $125. LLC Publication Services
Arizona, Nebraska and New York require notice to be published in a newspaper that a limited liability company (LLC) has been formed.
In New York, limited liability entities are required to publish notice of their formation or registration in two New York newspapers and to file proof of publication with the Department of State within 120 days. Trademark and Name Search and Filing
New businesses should pay attention to the use and protection of their business names. Upon formation of a corporation, LLC or any other business entity, the Secretary of State will require that the proposed name does not conflict with existing names for that entity. Yet, many new businesses should go further. A business with a unique name can claim it as its trademark or service mark.
A trademark or service mark is a word, slogan, symbol or design (or a combination of words and design) which identifies and distinguishes the goods or services of one party from those of another. Rights to a trademark or service mark arise from use of the mark. For this reason, a company seeking to conduct business under a particular name should make sure that no one else has already used that name (or one that is “confusingly similar”).
A search of the records of the United States Patent and Trademark Office or the trademark registries of the various states is an important first step. However, since the rights to a mark are based on use (not registration) of the name, it is equally important to conduct a “common law” search, as well. A common law search will help determine whether other businesses are using a similar name. Since a prior user of a mark generally has prior rights to that mark–regardless of which party is first to register–a complete search helps to determine that a chosen name is, in fact, available. Our complete and extensive trademark search service includes a report that shows if your mark or a similar mark is already registered, or is awaiting registration. Once availability has been determined, the business can claim that name as its own with less concern of encroaching upon the rights of others. Further, once that business has established actual use of that name in commerce, it may wish to register the name as a trademark or service mark on the federal level or state level (depending upon the scope of that use). Our service fee for preparing and filing a federal trademark/service mark application with the U.S. Patent and Trademark Office is $300. The filing fee is currently $375 for each class of goods or services (the Trademark Office separates goods and services into categories). In advance of actual use, it may file an “Intent to Use” application, but actual use of the mark will be required before the registration certificate would be issued. (Additional fees may be applicable in this instance.)
